1. Acceptance of Terms

Welcome to Affiliate Trane ("we," "us," or "our"). This website, https://affiliatetrane.com (the "Site"), and the services offered through it (the "Services") are provided to you subject to these Terms of Use (the "Terms"). By accessing or using the Site or Services, you (whether as an affiliate marketer, a brand, or a general visitor) agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or Services. We recommend that you print a copy of these Terms for your future reference.

2. Modifications to Terms

Affiliate Trane reserves the right to change, edit, or delete any documents, information, or other content appearing on the Site or these Terms from time to time without notice and in its sole discretion. All changes are effective immediately when posted and apply to all access to, and use of, the Site and Services thereafter. Every time you wish to use the Site or Services, please review these Terms to ensure that you understand the terms that may apply to you at that time. Your continued use of the Site or Services following the posting of changes constitutes your acceptance of such changes.  

3. Use of Site and Services

• Eligibility: By using the Site and Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Site or Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.  
• Account Registration: To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.  
• Permitted Use: The Site and Services are provided to facilitate connections between affiliate marketers and brands for promotional activities. As a user, you agree to use the Site and Services in a manner that is lawful, ethical, and in accordance with these Terms and any applicable guidelines or policies posted on the Site.
• Prohibited Conduct: You agree not to:
• Use the Site or Services for any illegal or unauthorized purpose.
• Violate any applicable laws or regulations in the USA, Nigeria, or any other relevant jurisdiction.
• Infringe upon the intellectual property rights of Affiliate Trane or any third party.
• Transmit any unlawful, threatening, libelous, defamatory, obscene, indecent, inflammatory, pornographic, or profane material, or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.
• Post or transmit any information that (a) infringes the rights of others or violates their privacy or publicity rights, (b) is protected by copyright, trademark, or other proprietary right, unless you have the express written permission of the owner of such right, (c) contains a virus, “bug,” malware, or other harmful item, or (d) is used to unlawfully collude against another person in restraint of trade or competition.
• Use any “robot,” “spider,” or other automatic device, or a program, algorithm, or methodology having similar processes or functionality, or any manual process, to monitor or copy any of the web pages, data, or content found on this Site without our prior written permission.

• Interfere with or disrupt the proper working of the Site or Services, or any servers or networks connected to the Site or Services.
• Take any action that imposes an unreasonable or disproportionately large load on our infrastructure.
• Engage in any form of spamming, phishing, or other unsolicited communication.  
• Scrape email addresses or other personal information from the Site.

4. Intellectual Property

All rights, including copyright, in this Site and the content provided on this Site, including the text, graphics, button icons, audio and video clips, digital downloads, data compilations, software, logos, and trademarks, are owned by or licensed to Affiliate Trane or its affiliates. You may not copy, reproduce, republish, upload, post, transmit, or distribute any content from this Site without the prior written permission of Affiliate Trane, except that you may download, display, and print the materials presented on this Site for your personal, non-commercial use only, provided that you keep intact all copyright and other proprietary notices.  

5. Affiliate Marketer and Brand Relationships

Affiliate Trane provides a platform to connect affiliate marketers and brands. We are not a party to any agreements or transactions entered into between affiliate marketers and brands through the Site or Services. Affiliate marketers and brands are solely responsible for their interactions, agreements, campaigns, and any payments or obligations arising from their relationships. Affiliate Trane does not endorse or guarantee the performance, reliability, or legality of any affiliate marketer, brand, or campaign. Users are responsible for conducting their own due diligence before entering into any agreements.

6. Third-Party Websites and Content

The Site and Services may contain links to other Internet websites and resources provided by third parties. These links are provided solely as a convenience to you and not as an endorsement by Affiliate Trane of the contents of (or any products or services available from) such other websites. Affiliate Trane is not responsible or liable to you or any third party for the content, accuracy, products, or services of such websites, and Affiliate Trane makes no representation or warranty regarding any other websites or the content or materials on such websites. If you decide to access other websites, you do so at your own risk and subject to the terms and conditions of use for such websites. You acknowledge and agree that Affiliate Trane shall not be liable for any damage or loss arising from or related to your use of such websites or reliance on any such content, products, or services available from such websites.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE USA AND NIGERIA, AFFILIATE TRANE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS PROVIDE THE SITE AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. AFFILIATE TRANE DOES NOT WARRANT THAT THE SITE, SERVICES, ITS SERVERS, OR ANY EMAIL SENT FROM AFFILIATE TRANE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT OR INFORMATION ON THE SITE OR SERVICES.  

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE USA AND NIGERIA, IN NO EVENT SHALL AFFILIATE TRANE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES, ANY CONTENT ON THE SITE OR SERVICES, OR ANY INTERACTIONS BETWEEN USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF AFFILIATE TRANE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) FOR THE SPECIFIC SERVICES IN QUESTION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Affiliate Trane, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Site or Services, (b) your Member Content (if applicable), (c) your conduct in connection with the Site or Services or with other users, (d) your violation of these Terms, or (e) your violation of any law or the rights of any third party.  

10. Termination

Affiliate Trane reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Site or Services at any time, with or without notice, for any reason, including without limitation, if we believe that you have violated these Terms. Upon termination, your right to use the Site and Services will immediately cease.  

11. Governing Law and Jurisdiction

These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of Minnesota, USA e.g., "the laws of the State of Minnesota, USA without regard to its conflict of law provisions. “You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site or Services shall be brought exclusively in the state and federal courts located in Nigeria jurisdiction, e.g., "Delta State, Nigeria." We also acknowledge that for users residing in Nigeria, the laws of the Federal Republic of Nigeria may apply to certain consumer rights and protections to the extent permissible.

12. User Disputes

You are solely responsible for your interactions with other users of the Site and Services, including affiliate marketers and brands. We reserve the right, but have no obligation, to monitor disputes between you and other users.

13. Submissions

Any questions, comments, suggestions, ideas, feedback, or other information about the Site or Services ("Submissions") that you provide to Affiliate Trane are non-confidential and shall become the sole property of Affiliate Trane. Affiliate Trane shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

14. Export Control

Any materials available from or through the Site may be subject to United States export controls. No such Materials from this Site may be downloaded or otherwise exported or re-exported in violation of U.S. export laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. export restrictions. You are also responsible for complying with any applicable export control laws of Nigeria.

15. General

• These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Affiliate Trane concerning your use of the Site and Services, superseding any prior agreements between you and Affiliate Trane relating to your use of the Site or Services.  
• The failure of Affiliate Trane to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
• Affiliate Trane may assign its rights and obligations under these Terms without your consent. You may not assign your rights or obligations under these Terms without our prior written consent.  
• The section titles in these Terms are for convenience only and have no legal or contractual effect.
